Terms of Service
Adgregate Markets, Inc. ("Adgregate") provides distributed commerce products that enable you to purchase products or services from Adgregate or its partners ("Partners") within advertising banners, social applications, web widgets, mobile applications, and other distributed applications ("Adgregate Products"). When you access or interact with any Adgregate Product, you agree to be subject to these terms and conditions (this "Agreement"). <
Use of Adgregate Products
You represent that you are at least 18 years old or are using an Adgregate Product under the supervision of a parent or guardian. You may not reproduce, distribute, modify, reverse-engineer, decompile or otherwise exploit an Adgregate Product, except for the distribution of an Adgregate Product through any sharing features included in that product. You may not make any commercial use of any of the information provided in an Adgregate Product. Adgregate reserves the right to refuse service, and/or cancel orders if Adgregate believes that customer conduct violates applicable law or is harmful to Adgregate's interests.
Intellectual Property
All text, graphics, images, software, trademarks and other content (collectively "Content") contained in an Adgregate Product belong exclusively to Adgregate or its Partners. You may not use any Content except as expressly authorized by Adgregate or its Partners.
Privacy Policy
Your use of Adgregate Products is also governed by our Privacy Policy, which may be found here: http://www.adgregate.com/web/privacy.asp. In some cases, your use will also be governed by the Privacy Policy of a Partner, in which case the Adgregate Product will include a link to that Privacy Policy.
Disclaimer and Limitation of Liability
Except as otherwise provided in this Agreement, and to the maximum extent permitted by applicable law, Adgregate and its Partners expressly disclaim all warranties and conditions of any kind whether express or implied, regarding any Adgregate Product or any Content, including any implied warranties of merchantability and fitness for a particular purpose, non-infringement, or data accuracy.
To the full extent permissible by applicable law, (i) Adgregate and its Partners will not be liable for any damages of any kind arising from the use of an Adgregate Product, including indirect, incidental, punitive, exemplary, special or consequential damages; and (ii) Adgregate's and its Partners' total liability to you for any damages shall not exceed the amount actually paid by you through an Adgregate Product.
Typographical Errors
In the event a product is listed at an incorrect price or with incorrect information, Adgregate shall have the right to refuse, cancel or reverse any orders placed for product listed at the incorrect price.
Termination and Amendment
Adgregate may at any time terminate or amend this Agreement, provided that any termination or amendment shall not affect the respective rights and obligations (including without limitation, payment obligations) of the parties arising before the date of termination.
Applicable Law
This Agreement shall be governed by the laws of the State of California without regard to its conflict of laws provisions. You and Adgregate agree to submit to the exclusive jurisdiction of the courts located within the county of Marin, California to resolve any legal matter arising from this Agreement. Notwithstanding this, you agree that Adgregate shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
Severability
If any these provisions are deemed invalid, void, or for any reason unenforceable, that condition shall not affect the validity and enforceability of any remaining provision.
